1. Services Overview

VoqueAI provides lead recovery automation services for service-based businesses, including but not limited to:

  • Lead-to-appointment recovery systems

  • Automation setup and configuration

  • CRM integrations

  • Monitoring and reporting

  • Related consulting services

Service scope depends on the selected package (Foundation, Growth, or Scale) and is strictly limited to the defined package boundaries.


2. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement to use our Website or purchase services.

By using our services, you represent that you have authority to act on behalf of your business.


3. Payment Terms

A. Setup Fees

  • Setup fees are due prior to project commencement.

  • Setup fees are non-refundable once deployment work has begun.

B. Monthly Retainer

  • Monthly fees begin on the agreed go-live date.

  • Payment is due in advance each billing cycle.

  • Failure to pay may result in suspension or termination of services.

C. Late Payments

We reserve the right to:

  • Suspend service

  • Restrict access

  • Terminate agreement
    If payment is not received within agreed timelines.


4. Refund Policy

Because VoqueAI provides custom automation services:

  • Setup fees are non-refundable once implementation begins.

  • Retainer payments are non-refundable for the active billing period.

  • Refunds will not be issued due to lack of usage, internal operational issues, or client-side delays.

If a client is found to be outside the defined package constraints and misrepresented material facts, VoqueAI reserves the right to terminate service without refund.


5. Scope of Service

Services are delivered strictly according to:

  • Package lead caps

  • Location limits (1 location only unless otherwise agreed)

  • Channel limits

  • Service/offer/appointment type caps

  • Approved tool stack

Custom development outside defined scope requires a separate agreement and fee.

VoqueAI does not provide:

  • Paid advertising services

  • Lead generation

  • Manual lead chasing

  • Sales closing services

  • CRM replacement services


6. Client Responsibilities

The client agrees to:

  • Provide accurate information during onboarding

  • Provide required access credentials

  • Maintain active subscriptions to required third-party platforms

  • Ensure legal compliance in messaging (e.g., opt-in, TCPA, CAN-SPAM compliance)

  • Respond to escalation alerts in a timely manner

  • Maintain booking calendar accuracy

VoqueAI is not responsible for:

  • Poor close rates due to internal sales performance

  • Poor service quality affecting customer conversion

  • Delays caused by incomplete access provision


7. Performance Disclaimer

VoqueAI provides revenue recovery infrastructure.

We do not guarantee:

  • Increased revenue

  • Specific booking percentages

  • Specific ROI

  • Specific response rates

  • Elimination of missed calls

  • Specific financial outcomes

Results depend on multiple factors including:

  • Lead quality

  • Sales process

  • Staff responsiveness

  • Market conditions


8. Third-Party Platforms

Our services rely on third-party software, including but not limited to:

  • CRM platforms

  • Messaging providers

  • Booking platforms

  • Automation tools

  • Analytics platforms

We are not responsible for:

  • Third-party outages

  • API limitations

  • Policy changes

  • Platform suspensions

  • Rate limiting

  • Platform pricing changes

Clients remain responsible for maintaining valid third-party accounts.


9. Intellectual Property

All proprietary systems, templates, flows, processes, and documentation developed by VoqueAI remain the intellectual property of VoqueAI unless otherwise agreed in writing.

Clients receive a license to use the configured systems during active engagement.

Reverse engineering or redistribution of proprietary systems is prohibited.


10. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business data

  • Client information

  • System architecture

  • Proprietary processes

Confidential information shall not be disclosed without written consent unless required by law.


11. Limitation of Liability

To the maximum extent permitted by law:

VoqueAI shall not be liable for:

  • Indirect damages

  • Lost profits

  • Loss of business

  • Data loss

  • Operational downtime

  • Consequential damages

Total liability shall not exceed the amount paid to VoqueAI in the previous 60 days.


12. Indemnification

You agree to indemnify and hold VoqueAI harmless from claims arising from:

  • Your misuse of services

  • Violation of laws

  • Violation of third-party rights

  • Improper messaging practices

  • Unauthorized data usage


13. Termination

Either party may terminate with written notice subject to contractual minimum terms.

VoqueAI may terminate immediately if:

  • Payment is not received

  • Client violates scope boundaries

  • Client engages in illegal practices

  • Abuse of systems occurs

Upon termination:

  • Access to systems may be revoked

  • Data handoff policies apply as agreed


14. Governing Law
